Your Role:

As Projects & M&A Finance Manager, you will be instrumental in supporting the growth of SWING Biomethane by leading key financing and transaction activities. Your responsibilities will include supporting project development and M&A deals, managing project finance processes, and ensuring robust valuation of our investments.


You will work closely with local development teams, legal advisors, financial institutions, and executive management.

Key Responsibilities

1. Manage the Project Financing Process

* Lead discussions with banks and junior debt funds: negotiate term sheets, oversee due diligence, and support contract negotiations to secure bankable project terms.
* Propose financing schemes and coordinate processes with internal and external stakeholders.
* Prepare investment notes for SWING governance.
* Coordinate bank due diligence processes.
* Promote SWING Biomethane’s visibility within the banking and project finance ecosystem.
* Support financial controller in managing the construction phase and drawdowns.


2. Support Development and M&A Activities

* Support development: ensure bankability of new projects ahead of closing including reviewing and taking part to negotiation of projects contracts (construction, feedstock, biomethane purchase, agreements)
* Assist in identifying M&A opportunities.
* Lead the realization of financial due diligence and participate to projects’ assessment.
* Lead the closing of M&A transactions upon Board approval.
* Support the preparation and negotiation of transaction documents: MoUs, Non-Binding Offers (NBOs), Term Sheets (TS), shareholder agreements with local project developers and partners.


3. Valuation & Financial Modeling

* Evaluate projects and corporate initiatives to inform investment decisions.
* Manage internal valuation tools and models used by developers.



What We are Looking For

* 5+ years of experience in investment banking, financial advisory, or project finance/M&A within utilities or developer.
* Top-tier engineer or business school or equivalent from university (master’s level / BAC +5)
* Proven experience in renewables or project finance, ideally within energy sectors.
* Strong skills in Excel-based modeling and valuation tools.
* Track record in negotiating financial and legal documentation.
* Entrepreneurial mindset, proactive and hands-on approach.
* Fluent in English (working language). Additional languages such as Spanish, Polish or Portuguese are a plus.
* Willingness to work in an international environment with occasional travel.
